Terms and Conditions

1. Introduction

These Terms and Conditions govern the provision of services by Cloud Web Complete. By using our services, you agree to these terms.

2. Services Provided

Cloud Web Complete offers an all-inclusive, pay-monthly package that includes website design, hosting, domain registration, email services, SEO, maintenance, updates, and security.

3. Payment Terms

• Payments are made monthly with no upfront fees.
• Your subscription covers all services, including design, hosting, maintenance, and updates.
• Additional services or upgrades may incur extra costs, which will be communicated and agreed upon before proceeding.

4. Contract Duration

• The standard contract duration is 12 months.
• After 12 months, the contract can be renewed at a 20% discount or terminated, allowing you to migrate your website to another provider.

5. Ownership and Licensing

• You gain full ownership of your website design and content after 12 months or at the end of your contract.
• Domain names registered under your plan are registered in your name.
• For any third-party plugins or software used, licenses will be transferred to you, and you will be responsible for their renewal and associated costs.

6. Website Maintenance and Updates

• We provide one hour per month for content updates and changes.
• Unused hours do not carry over to the next month.
• Any additional work beyond the allocated time may be subject to additional charges.
• You’re responsible for providing the content (text, images, etc.) for any updates. We can provide content for an additional cost.

7. Hosting and Security

• Websites are hosted on our optimized WordPress managed hosting platform.
• Daily backups and advanced security measures are in place to protect your website.
• We are not liable for any data loss or security breaches outside of our control.

8. Late Payments

• If payments are missed, we may deactivate your website after repeated warnings.
• If a payment is late by more than 7 days on three separate occasions, we may deactivate your website permanently. In such cases, you will be responsible for paying any outstanding balance.
• If the website is deactivated due to late payments, a reactivation fee of £250 will apply. Please note that deactivating your website may negatively impact your SEO rankings.

9. Termination and Cancellation

• The contract is for a fixed term of 12 months and cannot be canceled by the client during this period.
• We reserve the right to terminate the service at any time if terms are breached or if payments are not made as agreed. Upon termination, all outstanding fees must be paid by the client.

10. Legal Compliance

• It’s your responsibility to ensure that your website and its content comply with all legal requirements. We assume you’ve done the necessary research before proceeding with your website.

11. Images

• If we purchase images for your website, they can only be used on that website. We’re not responsible if you or others misuse these images.

12. Business Impact

• We’re not responsible for any negative effects on your business, such as lost sales or profits, that might be linked to our services.

13. SEO

SEO Definitions:

• SEO Services: All actions or services we provide as detailed in the SEO Specifications Form.
• Best Practice: The generally accepted techniques that are proven to be effective in achieving results.

Keyword Recommendations

• We’ll suggest keywords that are likely to provide the best return on your investment. If you choose different keywords, we can’t guarantee results or timelines.

Client Actions

• We’re not responsible for any negative impact on your website’s SEO due to actions you take without our recommendation.

Search Engine Changes

• Search engines change their algorithms regularly, which can affect your rankings. We’re not responsible for these changes or their impact on your site.

14. Liability

• We are not liable for any indirect or consequential losses.
• Our liability for direct losses is limited to the amount paid for the services in the preceding month.

15. Premium Plugins

• If your website requires the use of paid premium plugins, the cost of purchasing and renewing these plugins is your responsibility.
• While we may initially set up these plugins using our licenses, you will need to purchase your own licenses and transfer them to your account before the project is completed.
• Once the licenses are transferred, you will be responsible for renewing them as needed to keep your website’s functionality up to date. We are not responsible for any issues that arise from expired licenses or failure to renew them.

16. Governing Law

English Law governs these terms. Any disputes will be handled in English courts.

17. Force Majeure

• We’re not responsible for any delays or failures to perform our obligations if they’re due to events beyond our control, like natural disasters, wars, or pandemics.

18. Amendments

• We can update these terms from time to time. We’ll let you know about any significant changes. If you continue to use our services after we’ve updated the terms, you will accept the new terms.

19. Entire Agreement

• These terms, along with any order confirmation or contract, make up the entire agreement between us. This means that any previous agreements, promises, or discussions about the project that aren’t included here don’t apply anymore.

20. Severability

• If any part of these terms is found to be illegal or unenforceable, the rest of the terms will still apply.

21. No Waiver

• If we don’t enforce any part of these terms right away, it doesn’t mean we’re giving up our right to enforce them later.

• Any official notices under these terms should be sent via email to hello@cloudwebcomplete. We’ll send any official notices to the email you provided when we started working together.
